CeaseMyPain Terms of Service

These Terms of Service (“Terms”) govern your use of the CeaseMyPain mobile application, website, and desktop platform (“App”), operated by Underlyte Inc., with its registered office at 141 Treverton Drive, Toronto, ON, M1K 3T1. By accessing or using the App, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the App immediately.

Use of the App
You may use CeaseMyPain to access pain management tools, virtual consultations, symptom tracking, and related services. You must be at least 13 years old to use the App.
Location Access and Consent
CeaseMyPain may offer location-based features, such as:
Suggesting nearby pain clinics, pharmacies, or specialists
Tracking environmental triggers relevant to your symptoms
Location access is optional and requires explicit, separate consent. You will be prompted in-app to allow or deny location access. You may withdraw consent at any time via device settings (Settings > Privacy > Location). The App remains functional even without location access, though some features may be limited. Location data is handled in accordance with our Privacy Policy and applicable laws (e.g., GDPR, HIPAA, DPDP Act).
User Responsibilities
You agree to:
Provide accurate and truthful information
Use the App only for lawful purposes
Maintain the confidentiality of your login credentials
Notify us immediately of any unauthorized access or security breach
Intellectual Property
All content, trademarks, and technology used in the App are owned by CeaseMyPain or its licensors. You may not:
Copy, modify, or distribute any part of the App
Reverse-engineer or attempt to derive the source code
Use any proprietary material without prior written consent
You are granted a limited, non-exclusive, and non-transferable license to use the App for personal, non-commercial purposes.
Limitations of Liability
CeaseMyPain is not liable for:
Medical outcomes resulting from use of the App
Unauthorized access or data breaches, except as required by law
Technical interruptions or unavailability beyond our control
In no event shall CeaseMyPain, its affiliates, directors, or employees be held liable for indirect, incidental, punitive, or consequential damages. The App is intended for informational purposes only and does not replace professional medical advice.
Termination
Underlyte Inc. reserves the right to suspend or terminate access to the App at its sole discretion, with or without notice, for:
Breach of these Terms
Unauthorized or abusive use of the App
Legal or regulatory reasons
Users may terminate their account by uninstalling the App. Certain clauses (e.g., arbitration, indemnity) shall survive termination.
Dispute Resolution
Any disputes arising from these Terms or your use of the App will be resolved through binding arbitration, in accordance with the rules of the Arbitration Act of Ontario, Canada.
Arbitration will take place in Toronto, Canada
The decision shall be final and binding
If arbitration is deemed unenforceable, disputes shall be resolved exclusively in the courts of Ontario, Canada
This clause survives termination of your account or discontinuation of the App
Indemnity
You agree to indemnify and hold harmless Underlyte Inc., its subsidiaries, affiliates, directors, employees, shareholders, agents, and contractors from any claims, damages, losses, or liabilities, including legal fees, arising out of:
Your use of the App
Your breach of these Terms
Any unauthorized or unlawful activity conducted through your account
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Users agree to submit to the jurisdiction of the courts of Ontario for any disputes not resolved through arbitration.
Modifications
We may update these Terms from time to time. Changes will be posted within the App and on our website. Continued use of the App after changes indicates your acceptance.
Miscellaneous
These Terms constitute the entire agreement between you and Underlyte Inc. concerning the use of the App.
If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect
No waiver of any term shall be deemed a further or continuing waiver of such term
